Item 5.07.

Submission of Matters to a Vote of Security Holders.

On May 13, 2022, Vulcan Materials Company (the “Company”) held its annual meeting of shareholders (the “Annual Meeting”). There were 132,894,206 shares of common stock eligible to be voted at the Annual Meeting, and 120,421,270 shares were represented in person or by proxy at the Annual Meeting, which constituted a quorum to conduct business at the Annual Meeting. The following matters, which are described in more detail in the Company’s 2022 definitive proxy statement filed with the Securities and Exchange Commission on March 28, 2022, were approved by the Company’s shareholders at the Annual Meeting. The final voting results are presented below.
