Item 8.01Other Events.

On September 10, 2022, Ophir Lupu, the President of UTA Acquisition Corporation (the “Company”), notified the Company of his resignation from his position as President of the Company, effective immediately. Mr. Lupu’s resignation was not a result of any disagreement with the Company on any matter relating to its operations or its accounting or financial policies or procedures.
