Item 2.02 Results of Operations and Financial Condition.

On January 10, 2023, the Company issued a press release announcing its unaudited, preliminary financial results for the quarter and full year ended December 31, 2022, as well as its preliminary financial guidance for the full year ending December 31, 2023. A copy of the press release is attached as Exhibit 99.1 to this Current Report on Form 8-K.

The 2022 unaudited financial results contained in the press release are preliminary and subject to adjustment. The final, audited financial results will be included in the Company’s Annual Report on Form 10-K for the year ended December 31, 2022 to be filed with the Securities and Exchange Commission.
