Unregistered Sales of Equity Securities

 

On September 28, 2022, SecureTech Innovations, Inc. (“SecureTech”) issued 7,716 shares of its common stock, $0.001 par value, to two investors pursuant to Regulation D, Rule 506 (Form D was original filed with the SEC on July 1, 2022) in exchange for $13,503 in cash, or $1.75 per Share. This offering remains ongoing.

 

Proceeds from the sale of these shares will be used for general working capital and new product research and development.

 

As of September 30, 2022, SecureTech had 111,763,516 shares of its common stock issued and outstanding.
