Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

 

On September 30, 2022, Lillian Tung tendered her resignation from the Board of Directors (the “Board”) of Schmitt Industries, Inc. (the “Company”) due to professional and personal engagements, which Ms.Tung believed prevented her from devoting sufficient time to be a director of the Company. Ms. Tung’s resignation was not the result of any disagreements with the Company on any matters relating to its operations, policies or practices.
