Section 7 - Regulation FD

Item 7.01 Regulation FD Disclosure.

As previously disclosed, on March 3, 2022, the Supreme Judicial Court for the Commonwealth of Massachusetts (the "Supreme Judicial Court") issued an order granting a stay of a waiver order (the "Waiver Order") that the Massachusetts Department of Public Utilities (the "MA DPU") had issued granting a waiver of the MA DPU's jurisdiction over the sale by National Grid USA ("National Grid") of its wholly-owned subsidiary, The Narragansett Electric Company, to PPL Rhode Island Holdings, LLC, an indirect wholly-owned subsidiary of PPL Corporation (the "Company").

On March 25, 2022, National Grid and the Attorney General of the Commonwealth of Massachusetts filed with the Supreme Judicial Court a Joint Stipulation of Voluntary Dismissal of Appeal and Motion to Lift the Court’s March 3, 2022 Order of Stay. On March 29, 2022, the Supreme Judicial Court issued an order dismissing the appeal with prejudice and vacating the stay that had been previously entered.
