Item 5.02 Departure of Directors or Certain Officers: Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On April 26, 2022, Don R. Kania, Ph.D., a member of the Board of Directors (the “Board”) of NanoString Technologies, Inc. (the “Company”) notified the Board of his decision not to stand for re-election at the Company's next annual meeting of stockholders to be held on or about June 17, 2022 (the “2022 Annual Meeting”). Dr. Kania will continue to serve as a member of the Board until the expiration of his term at the 2022 Annual Meeting. Dr. Kania’s decision is not the result of any disagreement with the Company on any matter relating to the Company’s operations, policies, or practices.
