SECTION 5 – CORPORATE GOVERNANCE AND MANAGEMENT

Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On May 19, 2022, James L. Robo, Chairman of the Board of Directors (Board) and Executive Chairman of NextEra Energy, Inc. (NEE), advised the Board that he will retire, effective as of the close of business on July 29, 2022, as Chairman of the Board and Executive Chairman. After retiring as NEE’s President and Chief Executive Officer effective March 1, 2022, Mr. Robo has continued for a transition period to serve as Chairman of the Board and Executive Chairman. John W. Ketchum succeeded Mr. Robo as NEE’s President and Chief Executive Officer and was appointed by the Board to serve as a Director on the Board, also effective March 1, 2022. On May 19, 2022, the Board appointed Mr. Ketchum to succeed Mr. Robo as Chairman of the Board effective upon Mr. Robo’s retirement as of the close of business on July 29, 2022, at which time Mr. Ketchum will serve as NEE’s Chairman of the Board, President and Chief Executive Officer.
