Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements with Certain Officers
Effective as of September 21, 2022, Michael Kay submitted his resignation as a director of the Company. Mr. Kay’s reason for this decision is due to a policy implemented by his new employer which generally prohibits its employees from serving on the boards of any public companies and not as a result of any conflict with the Company. Mr. Kay has advised the Company that, given this policy, he has no option other than to resign from the Board. The Company’s Board has accepted the resignation.
