Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

 

On August 5, 2022, Mr. Asif Satchu and Mr. Modi Wiczyk notified Horizon Acquisition Corporation II (the “Company”) of their decision to resign as members of the Board of Directors of the Company (the “Board”), effective as of August 5, 2022. Messrs. Satchu’s and Wiczyk’s decision to resign was not the result of any dispute or disagreement with the Company or any matter relating to the Company’s operations, policies or practices.
