Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

 

On April 24, 2024, Christophe Philippe Roland Bringuier, an independent director of the Board of Directors (the “Board”) of Greenpro Capital Corp. (the “Company”), member of each the Company’s Audit Committee and the Compensation Committee, tendered his resignation as a director, and member of the aforementioned committees effective as of May 31, 2024. The Board has accepted Mr. Bringuier’s resignation effective as of May 31, 2024.

 

Mr. Bringuier’s resignation did not arise from any disagreement with the Company or any matter relating to the Company’s operations, policies, or practices. Mr. Bringuier will continue to serve the Board until May 31, 2024. The Company expects to identify a director candidate to fill in the resulting vacancy.
