Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On June 30, 2022, Randy Russell informed Colicity Inc. (the “Company”) that he has resigned from his position as Chief Investment Officer of the Company, effective immediately, so that he may pursue other business opportunities. Concurrent with his resignation from his position with the Company, Mr. Russell resigned from his position as the Chief Executive Officer of Pendrell Financial Services, a subsidiary of Pendrell Corporation, the parent of Colicity’s sponsor.
