Item 5.02.Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On and effective January 31, 2023, Walter Paulick, a Class II director and a member of the audit and finance, nominating and corporate governance, and oversight committees of the board of directors of CPI Aerostructures, Inc. (the “Company”), resigned from the Company’s board of directors. Mr. Paulick’s resignation is not due to any disagreement with the Company on any matter relating to the Company’s operations, policies, or practices.
