Item 8.01 Other Events.

On February 2, 2023, the Special Committee of the Board of Directors of BTCS Inc. (the “Company”) set the record date and payment date for its Series V Preferred Stock Dividend. The record date has been set for March 27, 2023 and the payment date has been set for April 14, 2023.

On February 2, 2023, the Company issued a press release announcing these dates. A copy of the press release is furnished with this report as Exhibit 99.1.
