Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers

 

Resignation of Chief Operating Officer

 

Reference is made to the employment agreement dated January 4, 2021, between the Company and Robert Diegel (the “Employment Agreement”) filed as Exhibit 10.9 to the Company’s Current Report on Form 8-K filed with the Commission on January 8, 2021, pursuant to which Mr. Diegel was employed as the Company’s Chief Operating Officer.

On January 23, 2023, Mr. Diegel provided the Company with written notice that he was terminating the Employment Agreement effective as of March 9, 2023.
