Explanation of Responses:
1. Restricted stock units granted as an employment inducement award under Rule 303A.08 of the New York Stock Exchange Listing Manual, which units vest in equal one-half increments on the first two anniversaries of date of grant. Upon vesting, each unit is converted into a share of common stock. Subject to certain exceptions, vesting is contingent upon continued employment.
2. Restricted stock units granted as an employment inducement award under Rule 303A.08 of the New York Stock Exchange Listing Manual, which units vest in equal one-quarter increments on the first four anniversaries of date of grant. Upon vesting, each unit is converted into a share of common stock. Subject to certain exceptions, vesting is contingent upon continued employment.
Remarks:
This Form 4, as originally filed on May 17, 2022, incorrectly referenced the restricted stock unit grants as being made under the Company's Stock Incentive Plan rather than as employment inducement awards.
