We plan to reconvene the Special Meeting on July 8, 2022. I’m sure you have been awaiting tomorrow’s stockholder vote, and I recognize this delay may be frustrating. All, We just issued a press release announcing that we intend to adjourn our Special Meeting of Stockholders to allow more time for the Spirit Board of Directors to continue discussions with Frontier and JetBlue. We plan to reconvene the Special Meeting on July 8, 2022. Below you’ll find a few FAQs to help you field questions from your teams. Why did we choose to do this? • A meeting adjournment is a way for companies to delay a stockholder vote. • Adjournments give stockholders additional time to consider proposals and/or allow companies additional time to continue discussions. • In our case, the special meeting was adjourned to allow more time for our Board to continue discussions with Frontier and JetBlue. 2. What happens next? • We plan to reconvene the Special Meeting on July 8. • During the period of the adjournment, our Board will continue discussions with Frontier and JetBlue, and we’ll continue to solicit proxies. 3. What does this mean about the voting results? • Final vote tallies were not completed. • The voting will continue through the adjournment period. 4. Does this mean Spirit is no longer going to merge with Frontier? • Spirit remains bound by the terms of the merger agreement with Frontier, and the merger agreement is still in effect. 5. Does this mean the Board is considering JetBlue’s latest offer? • Spirit remains bound by the terms of the merger agreement with Frontier. • Our Board is continuing discussions with JetBlue, as well as Frontier.
