Item 5.07 Submission of Matters to a Vote of Security Holders.

 

On February 1, 2023, AMCI Acquisition Corp. II (“AMCI” or the “Company”) convened and then adjourned, without conducting any other business, AMCI’s special meeting of stockholders of AMCI (the “special meeting”) relating to its previously announced proposed business combination (the “business combination”) with LanzaTech NZ, Inc. (“LanzaTech”), scheduled to occur on Wednesday, February 1, 2023, at 11:00 a.m., Eastern Time, until Friday, February 3, 2023, at 3:00 p.m., Eastern Time, at https://www.cstproxy.com/amciacquisitionii/2023. The only proposal submitted for a vote of the stockholders at the special meeting was the approval of the adjournment of the special meeting to a later date or dates (the “adjournment proposal”). The adjournment proposal is described in detail in the Company’s definitive proxy statement, filed with the U.S. Securities and Exchange Commission (the “SEC”) on January 11, 2023 (the “definitive proxy statement”), relating to the business combination.

 

As of the close of business on December 28, 2022, the record date for the special meeting, there were 15,000,000 shares of Class A common stock, par value $0.0001 per share (“Class A common stock”), and 3,750,000 shares of Class B common stock, par value $0.0001 per share (together with the Class A common stock, the “common stock”), outstanding, each of which was entitled to one vote with respect to the adjournment proposal. A total of 16,080,308 shares of common stock, representing approximately 85.76% of the outstanding shares of common stock entitled to vote, were present in person or by proxy, constituting a quorum to conduct business.

Furnished as Exhibit 99.1 hereto is a press release, dated February 1, 2023 (the “Press Release”), issued by AMCI announcing that AMCI convened and then adjourned, without conducting any other business, AMCI’s special meeting of its stockholders (the “special meeting”), scheduled to occur on Thursday, February 1, 2023, at 11:00 a.m., Eastern Time, until Friday, February 3, 2023, at 3:00 p.m., Eastern Time, at https://www.cstproxy.com/amciacquisitionii/2023.

 

The special meeting is being held to vote on the proposals described in AMCI’s definitive proxy statement, filed with the U.S. Securities and Exchange Commission (the “SEC”) on January 11, 2023 (the “definitive proxy statement”), relating to the proposed business combination with LanzaTech NZ, Inc.
