Explanation of Responses:
1. Represents a grant of Restricted Stock Units ("RSUs") pursuant to Rule 16b-3(d) under the Securities Act of 1934, as amended, which will be settled in shares of the Class A Common Stock, par value $0.0001 per share, of Wheels Up Experience Inc. (the "Issuer") upon vesting. The RSUs will vest in three equal installments on May 15, 2024, May 15, 2025 and May 15, 2026, subject to the Reporting Person's continued service to the Issuer.
