Item 8.01 Other Events.

On March 21, 2018, the board of directors of Commercial Metals Company (NYSE: CMC) (“CMC”) declared a regular quarterly cash dividend of $0.12 per share of CMC common stock, payable on April 19, 2018 to stockholders of record as of the close of business on April 4, 2018. On March 21, 2018, CMC issued a press release announcing the dividend, a copy of which is attached as Exhibit 99.1 to this report and incorporated herein by reference.

COMMERCIAL METALS COMPANY ANNOUNCES QUARTERLY DIVIDEND OF $0.12 PER SHARE

Irving, Texas - March 21, 2018 - Today, March 21, 2018, the board of directors of Commercial Metals Company (NYSE: CMC) (“CMC”) declared a regular quarterly cash dividend of $0.12 per share of CMC common stock. The dividend is payable to stockholders of record as of the close of business on April 4, 2018. The dividend will be paid on April 19, 2018. This cash dividend reflects CMC’s 214th consecutive quarterly dividend.
