Mirati Therapeutics Announces Proposed Public Offering

SAN DIEGO, Aug. 8, 2023 /PRNewswire/ -- Mirati Therapeutics, Inc. (Nasdaq: MRTX), a commercial stage biotechnology company, today announced that it intends to offer and sell $250.0 million of shares of its common stock, and, to certain investors, pre-funded warrants to purchase shares of common stock, in an underwritten public offering. The purchase price of each pre-funded warrant will equal the price per share at which shares of common stock are being sold to the public in this offering, minus $0.001, which will be the per share exercise price of each pre-funded warrant. In addition, Mirati expects to grant the underwriters of the offering a 30-day option to purchase up to an additional $37.5 million of shares at the public offering price, less the underwriting discounts and commissions. The offering is subject to market and other conditions, and there can be no assurance as to whether or when the offering may be completed, or as to the actual size or terms of the offering.
