Healthwell Acquisition Corp. I (HWELU) Prices 25M Unit IPO at $10/unit

Healthwell Acquisition Corp. I (NASDAQ: HWELU) announced the pricing today of its initial public offering (“IPO”) of 25,000,000 units at a price to the public of $10.00 per unit. The units are expected to be listed on The NASDAQ Capital Market (“NASDAQ”) under the symbol “HWELU” beginning tomorrow. Each unit issued in the IPO consists of one share of Class A common stock and one-half of one redeemable warrant to acquire one share of Class A common stock at an exercise price of $11.50 per share, subject to adjustment, upon the consummation of an initial business combination. Once the securities comprising the units begin separate trading, the Class A common stock and the warrants are expected to be traded on NASDAQ under the symbols “HWEL” and “HWELW,” respectively.

Jefferies LLC is acting as the sole book-running manager for the IPO. Healthwell has granted the underwriter a 45-day option to purchase up to 3,750,000 additional units at the IPO price, less underwriting discounts and commissions, to cover over-allotments, if any. The offering is expected to close on August 5, 2021, subject to customary closing conditions.
