Notable Mergers and Acquisitions of the Day 1/13: C/MS, AIG, ELN

  • Citi (NYSE: C) confirmed that the company is in discussions with Morgan Stanley (NYSE: MS) concerning a possible combination of the retail brokerage business operated under the Smith Barney name and the wealth management business operated by Morgan Stanley.

    Citi said no definitive agreement has been reached, and no assurance can be given that any such agreement will be reached. Beyond this statement, Citi has no further comment at this time.

  • American International Group, Inc. (NYSE: AIG) announced today an agreement to sell AIG Life Insurance Company of Canada to BMO Financial Group.

    Under the terms of the transaction, BMO will acquire AIG Life of Canada for approximately C$375 million (or approximately US $308 million) in cash, subject to any change in net worth between September 30, 2008 and closing.

    The transaction, which is expected to close by June 1, 2009, is subject to certain conditions, including approvals by the appropriate regulatory authorities.

  • Elan Corporation, plc (NYSE: ELN) said its Board of Directors has engaged Citigroup Global Markets Inc. to conduct, in conjunction with executive management and other external advisors, a review of the Company's strategic alternatives.

    Elan said the goal is to secure access to the necessary financial resources and commercial infrastructure to allow Elan to accelerate the development and commercialization of its extensive pipeline and product portfolio while maximizing the ability of its shareholders to participate in the resulting longer term value creation. The range of alternatives that will be assessed could include minority investment or strategic alliance, a merger or sale.
