SM Energy Announces Pricing of Upsized Common Stock Offering
August 9, 2016 12:22 AM EDTDENVER--(BUSINESS WIRE)-- SM Energy Company (SM Energy) (NYSE: SM) announced today that it priced an upsized underwritten public offering of 16,000,000 shares of common stock for gross proceeds of approximately $480 million. The offering was upsized from the previously announced offering of 15,000,000 shares of common stock. SM Energy also granted the underwriters a 30-day option to purchase up to 2,400,000 additional shares of common stock. The offering is expected to close on August 12, 2016, subject to customary closing conditions.

SM Energy Prices Upsized $150,000,000 Public Offering of Senior Convertible Notes Due 2021
August 9, 2016 12:02 AM EDTDENVER--(BUSINESS WIRE)-- SM Energy Company (SM Energy) (NYSE: SM) announced today that it has priced an upsized offering of $150,000,000 aggregate principal amount of its 1.50% senior unsecured convertible notes due 2021 (the Notes). The offering was upsized from the previously announced offering of $100,000,000 aggregate principal amount of Notes. The Notes will be issued at par. SM Energy has also granted the underwriters a 30-day option to purchase up to an additional $22,500,000 aggregate principal amount of the Notes.
