VIST Financial (Nasdaq: VIST) 61.6% HIGHER;Tompkins Financial Corporation (NYSE: TMP) and VIST Financial Corp (NASDAQ: VIST) announced today that they have entered into a definitive merger agreement under which Tompkins Financial will acquire VIST Financial Corp. Click here for the full report.

Micromet (Nasdaq: MITI) 31.8% HIGHER; Amgen (Nasdaq: AMGN) to acquire the company for $11/share.

RealNetworks, Inc. (Nasdaq: RNWK) 29.3% HIGHER; today announced that it has signed an agreement to sell a significant number of its patents and its next generation video codec software to Intel Corporation (Nasdaq: INTC) for a purchase price of $120 million. Under terms of the sale, RealNetworks retains certain rights to continue to use the patents in current and future products.

EntreMed (Nasdaq: ENMD) 25.3% HIGHER; continuing a very sharp rally over the last two weeks. The stock is up nearly 150 percent over the last seven trading sessions.

Netflix, Inc. (NASDAQ: NFLX) 21.6% HIGHER; reported Q4 EPS of $0.73, $0.18 better than the analyst estimate of $0.55. Sales of $875.6 million, which compares to the Street estimate of $857 million. Netflix, Inc. sees Q1 2012 EPS of $-0.16-$-0.49, versus the consensus of $-0.29. Sees Q1 sales of $842-$877 million, vs. the consensus of $845.6 million. The stock was upgraded at Gabelli and Citi.

Arctic Cat, Inc. (NASDAQ: ACAT) 20.6% HIGHER; reported Q3 EPS of $0.92, $0.33 better than the analyst estimate of $0.59. Revenue for the quarter came in at $207 million versus the consensus estimate of $181.84 million. Sees FY2012 EPS of $1.60-$1.70, versus prior guidance of $1.10-$1.15 and the consensus of $1.22. Sees FY2012 revenue of $568-$575 million, versus prior guidance of $530-$545 million and the consensus of $544.05 million.

Momenta (Nasdaq: MNTA) 20.2% LOWER; Amphastar won appeals court stay in generic LOVENOX case.

Carbo Ceramics, Inc. (NYSE: CRR) 20.1% LOWER; reported Q4 EPS of $1.43, $0.27 worse than the analyst estimate of $1.70. Revenue for the quarter came in at $158.12 million versus the consensus estimate of $179.24 million.
Monster Worldwide, Inc. (NYSE: MWW) 19.65% LOWER; reported Q4 EPS of $0.11, $0.01 worse than the analyst estimate of $0.12. Revenue for the quarter came in at $250 million versus the consensus estimate of $258.9 million. Cutting about 7 percent of staff. Sees Q1 sales down 3-7 percent and EPS breakeven to 4 cents. Street currently expecting quarterly EPS of 9 cents.

Monster Worldwide, Inc. (NYSE: MWW) 17.7% LOWER; reported Q4 EPS of $0.11, $0.01 worse than the analyst estimate of $0.12. Revenue for the quarter came in at $250 million versus the consensus estimate of $258.9 million. Cutting about 7 percent of staff. Sees Q1 sales down 3-7 percent and EPS breakeven to 4 cents. Street currently expecting quarterly EPS of 9 cents.

Enterprise Financial Services (NASDAQ: EFSC) 17.5% LOWER; late last night disclosed it will restate 2010 and 2011 results, expecting EPS of 20-25 cents, which compares to the previously reported 45 cents. Stifel Nicolaus downgraded Enterprise Financial Services from Buy to Hold today.

Clearfield, Inc. (NASDAQ: CLFD) 15.2% LOWER; the company reported Q4 EPS of $0.08, versus $0.04 reported last year. Revenue for the quarter came in at $9.17 million, versus $7.24 million reported last year. Notably, the company's backlog fell. Shares are experiencing heavier than usual volumes today.
