Maidenform, Inc. (NYSE: MFB) 22% HIGHER; announced that it has entered into a definitive agreement with HanesBrands (NYSE: HBI) pursuant to which Hanes will acquire all of the outstanding shares of Maidenform for $23.50 per share in cash, representing a transaction value of approximately $575 million. The transaction price represents a premium of approximately 23% to yesterday’s closing share price and a premium of approximately 30% to the 30-day average trading price. The transaction, which has been unanimously approved by the Maidenform Board of Directors, is expected to close in the fourth quarter of 2013.
Transition Therapeutics Inc. (NASDAQ: TTHI) 18% HIGHER; announced the exclusive licensing of worldwide rights to a novel small molecule transcriptional regulator ("TT-601") from Eli Lilly and Company for the treatment of osteoarthritis ("OA") pain. TT-601 is a potent and selective ligand for a novel nuclear receptor target. Modulating the activity of this novel target in patients with osteoarthritis may provide pain relief to a large segment of OA patients who do not have adequate response to therapy with NSAIDs (non-steroidal anti-inflammatory drugs). TT-601 has completed preclinical development to date and Transition anticipates can enter the clinic in the first half of 2014.
VMware, Inc. (NYSE: VMW) 14% HIGHER; reported Q2 EPS of $0.79, $0.02 better than the analyst estimate of $0.77. Revenue for the quarter came in at $1.24 billion versus the consensus estimate of $1.23 billion. VMware, Inc. sees FY2013 revenue of $5.12-5.26 billion, versus prior guidance of $5.12-5.24 billion and the consensus of $5.17 billion.
Unisys Corp. (NYSE: UIS) 7% HIGHER; reported Q2 EPS of $0.91, $0.01 better than the analyst estimate of $0.90. Revenue for the quarter came in at $858.6 million versus the consensus estimate of $838.27 million
Panera Bread Co (NASDAQ: PNRA) 6.6% LOWER; reported Q2 EPS of $1.74, $0.03 worse than the analyst estimate of $1.77. Revenue for the quarter came in at $589.01 million versus the consensus estimate of $596.01 million. In the second quarter fiscal 2013, Company-owned comparable net bakery-cafe sales increased 3.8%, franchise-operated comparable net bakery-cafe sales increased 3.5%, and system-wide comparable net bakery-cafe sales increased 3.7% compared to the comparable period in fiscal 2012. Sarepta Therapeutics, Inc. (NASDAQ: SRPT) 4% LOWER; plans to submit a New Drug Application (NDA) to the U.S. Food and Drug Administration (FDA) in the first half of 2014 for the approval of eteplirsen for the treatment of Duchenne muscular dystrophy (DMD). Eteplirsen is Sarepta's lead exon-skipping compound in development for the treatment of patients with DMD who have a genotype amenable to skipping of exon 51.
EMC (NYSE: EMC) 4% HIGHER; reported Q2 EPS of $0.42, in-line with the analyst estimate of $0.42. Revenue for the quarter came in at $5.61 billion versus the consensus estimate of $5.61 billion. Sees FY2013 EPS of $1.85, versus the consensus of $1.86. EMC sees FY2013 revenue of $23.5 billion, versus the consensus of $23.41 billion.
