Former Stryker (SYK) CEO Sends Strong Message to Other Execs: Ask First

May 23, 2012 11:42 AM EDT
Better to ask, right?

According to amazing reports out Wednesday, ousted Stryker (NYSE: SYK) CEO Stephen MacMillan did the honorable and very respectful thing of requesting permission from Chairman William Parfet and Board governance and nominating committee head Louise Francesconi if he could date employee Jennifer Koch. No word on whether the father of Koch was also consulted on the matter.

The two consented, as long as Koch would quit her role as flight attendant on Stryker's corporate jets.

Notably, MacMillan was going through a divorce at the time. Koch is also a divorced mother of two.

The admission by Parfet may help MacMillan to land a senior role at Johnson & Johnson (NYSE: JNJ). MacMillan previously spent 11 years with J&J before leaving for Stryker.

Attention executives like Mark Hurd, Brian Dunn, and others, just make sure to get permission before diving in head first.

The whole point is that even executives will likely want to work again. Given that Koch wasn't an immediate subordinate (or superior, in some cases), MacMillan evaluated his options and, wanting to not break company by-laws, made sure he was in the clear before proceeding. The message should spread to anyone seeking to date another co-worker who feels the relationship might put the work environment at risk (even if it means simply getting a pillow or ice-cold cocktail first on a business trip compared with a life altering promotion or other business decision).

Shares of Stryker are 1.2 percent lower Wednesday afternoon.
