Vonage (NYSE: VG) 69% HIGHER; announced that the cost of its settlement of a patent dispute with Verizon will be effectively capped at a maximum of $32 million, in addition to the $88 million already accrued and held in escrow.

Verticalnet, Inc. (Nasdaq: VERT) 51.7% LOWER; announced the execution of a definitive agreement under which BravoSolution, S.p.A.. will acquire the company for $2.56 per share. Verticalnet closed at $5.61 yesterday

Panacos Pharmaceuticals, Inc. (NASDAQ: PANC) 37% HIGHER; announced preliminary results from the 300 mg cohort of a Phase 2b study of bevirimat (PA-457) in patients failing HIV therapy due to drug resistance. In this cohort, eight patients received 300 mg of bevirimat solution once daily and two patients received placebo for 14 days on top of their failing background regimen.

Trident Microsystems (NASDAQ: TRID) 28% LOWER; reported Q1 EPS of $0.38, 6 cents better than the analyst consensus of $0.32. Revenues for the quarter were $88.2 million, versus the consensus of $90.2 million. Q2 revenue guidance is 70-72 million versus 91.7 million

Baldor Electric (NYSE: BEZ) 25% LOWER; reported Q3 EPS of $0.53, 1 cent lower than the analyst consensus of $0.54. Revenues for the quarter were $480.6 million, versus the consensus of $490.62 million. The Company expects Q4 sales to be lower than Q3 levels.

Countrywide Financial Corp. (NYSE: CFC) 21% HIGHER; reported a Q3 loss of $2.85 per share, or $2.12 ex-effect of conv pfd, versus the consensus of a $1.28 loss. Countrywide expects to be profitable in 2007 4th Quarter and 2008. Countrywide\'s consolidated earnings are expected to range between $0.25 and $0.75 per diluted share for the fourth quarter of 2007. The Wall Street conensus is $0.21.

DeVry (NYSE: DV) 19% HIGHER; reported Q3 EPS of $0.40, 19 cents better than the analyst consensus of $0.21. Revenues for the quarter were $250.3 million, versus the consensus of $243.32 million.

Puget Energy (NYSE: PSD) 19% HIGHER; entered into a definitive merger agreement with a consortium of long-term infrastructure investors to be acquired for $30 per share.

Varian Semiconductor Equipment Associates Inc. (Nasdaq: VSEA) 11% LOWER; reported Q4 EPS of $0.71, 2 cents better than the analyst consensus of $0.69. Revenues for the quarter were $298.7 million, versus the consensus of $294.05 million. Q1 guidance eps 53-58 cents consensus is 66 cents. Q1 revenues 250-260 million versus 281.9 million.

Tesoro Corporation (NYSE: TSO) 11% HIGHER; Kirk Kerkorian\'s Tracinda Corporation intends to make a cash tender offer for up to 21,875,000 shares of common stock of Tesoro at a price of $64.00 per share.

AXT Inc (Nasdaq: AXTI) 11% LOWER; reported Q3 EPS of $0.03, 2 cents lower than the analyst consensus of $0.05.

Evergreen Solar, Inc. (Nasdaq: ESLR) 11% HIGHER; reported Q3 loss of ($0.04), 2 cents better than the analyst consensus of ($0.06). Revenues for the quarter were $15.4 million, versus the consensus of $17 million.

MEMC Electronic Materials (NYSE: WFR) 10% HIGHER; reported Q3 EPS of $0.81, 1 cent better than the analyst consensus of $0.80. Revenues for the quarter were $472.8 million, versus the consensus of $477.47 million. MEMC also announced a $7-$8 billion solar wafer agreement.

Microsoft (Nasdaq: MSFT) 10% HIGHER; reported Q1 EPS of $0.45, 6 cents better than the analyst consensus of $0.39. Revenues for the quarter were $13.76 billion, versus the consensus of $12.57 billion. MSFT guidance Q2 44-46 cents versus consensus 44 cents. full year 08 $1.78-$1.81 versus $1.73.

Sierra Wireless, Inc (Nasdaq: SWIR) 10% HIGHER; reported Q3 EPS of $0.39, 12 cents better than the analyst consensus of $0.27. Revenues for the quarter were $111.5 million, versus the consensus of $109.58 million. The Company expects Q4 EPS to be $0.42, versus the consensus of $0.28. Q4 revenues are expected to be $125 million, versus the consensus of $116 million.

DXP Enterprises (Nasdaq: DXPE) 9% HIGHER; reported Q3 EPS of $0.65, 6 cents better than the analyst consensus of $0.59. Revenues for the quarter were $106.8 million, versus the consensus of $98.16 million.

Celestica (NYSE: CLS) 8% HIGHER; reported Q3 EPS of $0.13, 6 cents better than the analyst consensus of $0.07.

Travelzoo (Nasdaq: TZOO) 6% LOWER; reported Q3 earnings of $0.14, 4 cents below analyst consensus of $0.18. Revenues for the quarter were $19.9 million, versus the consensus of $20.2 million.

ValueVision\'s (Nasdaq: VVTV) 5% LOWER; announced that, at the request of its Board of Directors, William J. Lansing will be leaving the company and stepping down as ValueVision\'s CEO. John D. Buck will serve as the Company\'s Interim CEO until a new CEO is found.

Ingram Micro (NYSE: IM) 5% HIGHER; reported Q3 EPS of $0.41, 2 cents better than the analyst consensus of $0.39. Revenues for the quarter were $8.6 billion, versus the consensus of $8.41 billion.

Omniture Inc. (Nasdaq: OMTR) 4.8% HIGHER; announced a definitive agreement to acquire Visual Sciences, Inc. (Nasdaq: VSCN) in a stock and cash transaction valued at approximately $394 million.

Interactive Brokers (NASDAQ: IBKR) 4.4% HIGHER; reported Q3 EPS of $0.53, 22 cents better than the analyst consensus of $0.31. Revenues for the quarter were $445.1 million, versus the consensus of $303 million.

Openwave Systems, Inc (Nasdaq: OPWV) 4% LOWER; reported Q3 loss of ($0.04), 1 cent better than the analyst consensus of ($0.05). Revenues for the quarter were $63 million, versus the consensus of $65.65 million.

CNET Networks, Inc. (Nasdaq: CNET) 4% HIGHER; reported Q3 EPS of $0.04, 2 cents better than the analyst consensus of $0.02. Revenues for the quarter were $99.5 million, versus the consensus of $99.41 million. Also, sells Webshots for $45M

Ramtron International (Nasdaq: RMTR) 4% HIGHER; reported Q3 EPS of $0.05, 1 cent better than the analyst consensus of $0.04. Revenues for the quarter were $13.4 million, versus the consensus of $13.06 million.

Baidu (Nasdaq: BIDU) 3.8% LOWER; reported Q3 EPS of $0.72, 9 cents better than the analyst consensus of $0.63. Revenues for the quarter were $66.3 million, versus the consensus of $65.53 million. Sees Q4 revenues $74.7 to $76.7 million versus $75.7.

Merrill Lynch (NYSE: MER) 3.7% HIGHER; According to reports from the New York Times, CEO Stan O\'Neal discussed a merger deal with Wachovia (NYSE: WB) in a call last week, without consulting Merrill directors. The move angered the Merrill board and put O\'Neal\'s job at risk, according to the paper.

Wendy\'s International (NYSE: WEN) 3% LOWER; reported Q3 EPS of $0.44, 11 cents better than the analyst consensus of $0.33. Revenues for the quarter were $631.1 million, versus the consensus of $629.43 million. Wendy\'s expects FY07 EPS to be at the high end of its prior guidance range.

YRC Worldwide (Nasdaq: YRCW) 2.5% LOWER; reported Q3 EPS of $0.70, 16 cents lower than the analyst consensus of $0.97. Revenues for the quarter were $2.46 billion, versus the consensus of $2.51 billion.

DSW Inc. (NYSE: DSW) INDICATED LOWER; today announced it had to revise its FY07 EPS to $1.48, versus the prior guidance of $1.63 to $1.68. The consensus is $1.54. Similarly, DSW also expects FY07 same-store sales to now be in the range of flat to down 2%, versus prior guidance of flat to up 3%.
