Item 1.01. Entry into a Material Definitive Agreement
On December 6, 2016, Zebra Technologies Corporation (the Company) entered into a second Refinancing Amendment (the Amendment), that amended the Credit Agreement, dated as of October 27, 2014 (the Credit Agreement) as amended by the First Amendment dated as of June 2, 2016, by and among the Company, the lenders party thereto, JPMorgan Chase Bank, N.A., as revolving facility administrative agent, and Morgan Stanley Senior Funding, Inc., as term loan administrative agent and collateral agent. The Amendment, among other things, (1) reduced the interest rate (a) for Eurocurrency Loans that are term loans from 3.25% plus the London interbank offered rate (LIBOR) to 2.50% plus LIBOR and retained the LIBOR floor of 0.75% for Eurocurrency Loans that are term loans, and (b) for alternate base rate loans that are term loans from (x) 2.25% plus an alternate base rate (the ABR) determined by reference to the highest of (i) the federal funds effective rate plus 0.50%, (ii) the rate that The Wall Street Journal from time to time publishes as the U.S. Prime Rate, (iii) the London interbank offered rate for U.S. dollars (for a one-month interest period), which will at all times account for statutory reserves, plus 1.00% and (iv) 1.75%, to (y) 1.50% plus the ABR; and (2) added a prepayment premium equal to 1% of the aggregate principal amount of term loans prepaid or repriced on or prior to June 6, 2017 in connection with any refinancing or repricing of term loans resulting in a lower effective all-in yield, subject to certain customary exceptions. The term loan maturity date of October 27, 2021 remains unchanged, and the other terms of the Credit Agreement remain substantially unchanged.

Zebra Technologies Announces Repricing of $1.7 Billion Term Loan
Lincolnshire, Ill., Dec. 7, 2016 Zebra Technologies Corporation (NASDAQ: ZBRA), a global leader in providing solutions and services that give enterprises real-time visibility into their operations, announced that effective Dec. 6 it has successfully repriced its $1.7 billion term loan.
Under the amended term loan, the interest rate has been reduced by 75 basis points to LIBOR + 2.50% (LIBOR floor of 0.75% is unchanged), from LIBOR + 3.25%, which is expected to generate annualized interest expense savings of approximately $13 million based on the current principal balance outstanding. As previously communicated, the company expects to continue to reduce the principal balance prior to the October 27, 2021 maturity date.
For the fourth quarter of 2016, the company expects to incur approximately $1 million of accelerated amortization of debt issuance cost and discount, as well as approximately $1 million of repricing transaction fees. The company also expects interest expense savings of approximately $1 million in the quarter due to the repricing.
