1. This acquisition is reported to reflect the partial vesting of restricted stock units ("RSUs") previously granted to the Reporting Person on October 28, 2014.
2. Each RSU represents a contingent right to receive one share of Iron Mountain Incorporated common stock ("Common Stock").
3. The RSUs, representing a contingent right to receive a total of 12,652 shares of Common Stock, were granted to the Reporting Person on October 28, 2014 and vest in three substantially equal annual installments beginning on the first anniversary of the grant date.

Cloutier, the Assistant Secretaries of Iron Mountain Incorporated, as of this date being Nina Andersson-Willard, Deborah Marson and Elizabeth Tammaro, and the Director, Executive Compensation of Iron Mountain Incorporated, as of this date being Robert D’Amato, acting singly, to be my lawful attorney-in-fact for me and to do any and all acts which I could do in connection with any filings required by Section 16 of the Securities Exchange Act of 1934, including, without limitation, the preparation, signing and filing of Forms 3, 4 and 5 (“Section 16 Filings”).
