Item 7.01 Regulation FD Disclosure.
 
As a result of oversubscription, the Company is seeking to upsize its previously announced proposed incremental term loan from $650 million to $1,150 million. The Company intends to use the incremental $500 million of proceeds to retire the Company’s outstanding 7.50% Senior Subordinated Notes due 2021, either pursuant to a tender offer or redemption. The Company expects to seek an amendment to the credit agreement to permit the repayment of these notes.
