Windrose Medical Properties Trust (NYSE: WRS) 16.5% HIGHER; Health Care REIT, Inc. (NYSE: HCN) and Windrose Medical Properties Trust announced that they have entered into a definitive merger agreement pursuant to which Health Care REIT will acquire Windrose for approximately $877 million, including the assumption of Windrose's outstanding debt which totaled approximately $426 million as of June 30, 2006

Escala Group Inc. (Nasdaq: ESCL) 10% LOWER; Delays 10-K

Biopure Corporation (Nasdaq: BPUR) 8% HIGHER; Announced that the SEC has given final approval to the company's previously announced agreement in principle with the staff of the SEC to settle the litigation, filed in September 2005, concerning disclosures the company made in 2003. Under the settlement agreement, the company consented, without admitting or denying the allegations in the complaint, to an injunction against future violations of federal securities laws and regulations. No payments were required of the company.

RCN Corp. (Nasdaq: RCNI) 7.7% HIGHER; According to reports from Bloomberg, RCN Corp. may put itself up for sale, citing two people with knowledge of the plans. According to the report, the company hired Blackstone Group LP as its advisor. RCN may fetch more than $29.50 per share.

Globecomm Systems Inc. (Nasdaq: GCOM) 7% HIGHER; Reports Q4 EPS of $0.08 (excluding $0.02 gain), 1 cent worse than estimates.(0.09) Revenues were $35.5 million vs. $33.78 million consensus. Sees FY07 EPS above $0.40 vs. $0.42 consensus. Sees FY revenues over $140 million vs. $146.05 million consensus.

American Science & Engineering Inc. (Nasdaq: ASEI) 6.4% HIGHER; Receives $42.4 Million Order from U.S. Government for 36 Z Backscatter Van X-ray Systems

Joy Global Inc. (Nasdaq: JOYG) 4% HIGHER; Authorized an increase in the current $300 million stock buyback program to a level of $1 billion, and extended the program from May 2007 until the end of calendar 2008. The board also authorized debt borrowings in an amount up to $400 million.

Eagle Bulk Shipping Inc. (Nasdaq: EGLE) 3.7% LOWER; pricing of a secondary offering of 2.0 million shares of its common stock at a price to the public of $15.10 per share.

The New York Times Company (NYSE: NYT) 3.2% HIGHER; Company announces plans to sell its Broadcast Media Group, which includes nine network-affiliated television stations and their related properties. The Times Company has retained Goldman, Sachs & Co. to advise it.

Energy Conversion (Nasdaq: ENER) 3.1% HIGHER; Reports a Q4 loss of $0.02, 8 cents better than estimates.(-.10) Revenues were $27.9 million vs. $25.84 million consensus.

Gap Inc. (NYSE: GPS) 2.75% HIGHER; Lehman Brothers upgrades Gap (GPS) to Overweight

Tenet Healthcare Corp. (NYSE: THC) 1.8% HIGHER; Goldman Sachs upgrades Tenet Healthcare (THC) to Neutral

Marvell Technology Group Ltd. (Nasdaq: MRVL) 1.5% LOWER; Announced that on September 9, 2006 it received a second notice from The Nasdaq Stock Market stating that the Company is not in compliance with Nasdaq Marketplace Rule 4310(c) (14) because the Company has not timely filed its Report on Form 10-Q for the fiscal quarter ended July 29, 2006.

The Scotts Miracle-Gro Company (NYSE: SMG) 1.2% LOWER; Announced that Robert F. Bernstock, president and chief operating officer, has left the organization and that Chris Nagel has been named executive vice president of the North American consumer business, the Company's largest operating unit. The Company also announced a new organizational structure in which the operating units will report directly to Jim Hagedorn, chairman and chief executive officer. The Company has eliminated the role of chief operating officer.
