Jim Heistand on what’s happening with Parkway Properties

Parkway Properties Inc. will soon become one of the largest office landlords in downtown Houston — but CEO Jim Heistand will remain in Orlando.

The Orlando-based real estate investment trust (NYSE: PKY) on April 29 announced plans to merge with Atlanta-based Cousins Properties Inc., and both plan to spin off their Houston market properties into a new publicly traded REIT.

The deal involves Cousins buying Parkway for about $1.95 billion in stock, Bloomberg reported.

But what wasn’t clear in the initial announcement was that the name Parkway Properties isn’t going away, Heistand told Orlando Business Journal. Rather, the Houston spinoff will hold on to the Parkway Properties name.

Additionally, the merged company — which will retain the Cousins Properties name — will take on the balance of Parkway’s property portfolio in Orlando, Tampa and other Sunbelt markets.

“Both of our companies have properties in the Houston submarket, and oil prices were down dragging down our collective stock,” said Heistand, who will be the CEO of the new spinoff when the transactions close in this year’s fourth quarter. By combining assets and creating a spinoff, “both of our shareholders will own stock in both companies. It just made a lot of sense.”


Heistand has to his credit more than 30 years of creating real estate companies that grow into large publicly traded entities. He’s arguably had the biggest influence as an office property investor in the region, both historically and today, sources previously told OBJ.

Here’s what else Heistand had to say about the changes:

How will Parkway Properties operate once the spinoff is complete? We will still be Parkway, but we will own the Houston assets. It’s going to put a large presence in Houston but maintain our operations here. Most of the senior team will remain intact. We will have a couple of changes simply because we won’t be as large. But we’ll still have about 200 people. And we’ll be about a $2 billion company and the largest landlord in the Houston market.

Will you have to relocate? No, I will obviously spend a lot of time in Houston. Clearly, I’ll have to be in the markets to know what’s going on. But I will continue to be an Orlando resident. I’m not selling my house.

What will happen with Parkway’s Orlando-area properties? Cousins will inherit our portfolio in Orlando, Tampa and the other markets. As a company, they will become quite large as a little more than $5 billion-sized company. The reason we’re doing this is that the buildings they own are extremely high quality, high-rise in those urban markets. They have very little suburban assets, similar to what we own in downtown Orlando and downtown Charlotte.
