Roundy's, Inc. (NYSE: RNDY) 63% HIGHER; Kroger (NYSE: KR) and Roundy's, Inc. (NYSE: RNDY) announced a definitive merger agreement under which Kroger will purchase all outstanding shares of Roundy's for $3.60 per share in cash.
Amira Nature Foods (NYSE: ANFI) 29% HIGHER; disclosed the following in an SEC filing issues after markets closed on Tuesday: The Company announced that an Independent Third Party Forensic Investigation has been completed by BDO LLP (“BDO”). The Audit Committee of the Board of the Directors of the Company engaged BDO to review certain allegations that have been made against the Company. The review included i) an analysis of the Company’s reported international Basmati sales relative to Amira Pure Foods Private Ltd.’s (“Amira India”) exports of Basmati rice as identified by the Agricultural and Processed Food Products Export Development Authority (“APEDA”); ii) an analysis of the allegations in respect of the reported Basmati market size in India; iii) a comprehensive review of the transactions with the Company’s largest customer for 2015; iv) a comprehensive review of the Company’s related party transactions and its disclosure of such transactions, including the potential existence of undisclosed related party transactions with its top customers and named suppliers in 2014 and 2015 and; v) a review to identify the existence of undisclosed revenue transactions with Karam Enterprises since the time of the Company’s initial public offering; BDO has independently concluded that these allegations are unsubstantiated and/or unfounded."
Horizon Pharma plc (NASDAQ: HZNP) 15% LOWER; lawsuit filed by Express Scripts (NASDAQ: ESRX)
Everyday Health (NYSE: EVDY) 14.3% LOWER; reported Q3 EPS of $0.07, $0.01 worse than the analyst estimate of $0.08. Revenue for the quarter came in at $54.3 million versus the consensus estimate of $56.87 million.
Alarm.com Holdings, Inc. (NASDAQ: ALRM) 10.6% HIGHER; reported Q3 EPS of $0.14, $0.12 better than the analyst estimate of $0.02. Revenue for the quarter came in at $54 million versus the consensus estimate of $47.48 million. Alarm.com Holdings, Inc. sees FY2015 EPS of $0.20-$0.21, versus prior guidance of $0.13-$0.14 and the consensus of $0.14.
Hackett Group, Inc. (NASDAQ: HCKT) 10% HIGHER; reported Q3 EPS of $0.20, $0.02 better than the analyst estimate of $0.18. Revenue for the quarter came in at $67.2 million versus the consensus estimate of $64.41 million.
Boot Barn Holdings (NYSE: BOOT) 9.2% LOWER; reported Q2 EPS of $0.04, versus $0.08 reported last year. Revenue for the quarter came in at $129.7 million, versus $86.4 million reported last year. Consolidated same store sales increased 0.1%.
J.C. Penney (NYSE: JCP) 6% HIGHER; announced that it has reached an agreement, subject to court approval, to settle a false advertising class action lawsuit brought on behalf of California customers who purchased certain JCPenney private or exclusive branded products. Also, said Q3 comps outpaced expectations.
Opower (NYSE: OPWR) 5.9% HIGHER; reported Q3 EPS of ($0.06), $0.08 better than the analyst estimate of ($0.14). Revenue for the quarter came in at $39 million versus the consensus estimate of $38.17 million.
Arena Pharma (NASDAQ: ARNA) 5% HIGHER; reported Q3 EPS of ($0.11), $0.02 better than the analyst estimate of ($0.13). Revenue for the quarter came in at $9.1 million versus the consensus estimate of $9.14 million.
Macy's (NYSE: M) 5% LOWER; reported Q3 EPS of $0.56, versus the analyst estimate of $0.54. Revenue for the quarter came in at $5.87 billion versus the consensus estimate of $6.12 billion. Will not pursue REIT structure.
Owned comps fell 3.9 percent, versus expectations of a 0.4 percent drop.
Lumentum Holdings (NASDAQ: LITE) 4.9% HIGHER; reported Q1 EPS of $0.26, $0.04 better than the analyst estimate of $0.22. Revenue for the quarter came in at $212.6 million versus the consensus estimate of $210.5 million. Lumentum Holdings sees Q2 2015 EPS of $0.26-$0.30, versus the consensus of $0.27. Lumentum Holdings sees Q2 2015 revenue of $212-222 million, versus the consensus of $219.5 million.
Amdocs (NASDAQ: DOX) 3.5% LOWER; reported Q4 EPS of $0.84, $0.02 better than the analyst estimate of $0.82. Revenue for the quarter came in at $927 million versus the consensus estimate of $932.36 million. Amdocs sees Q1 2016 EPS of $0.82-$0.88, versus the consensus of $0.90. Amdocs sees Q1 2016 revenue of $905-945 million, versus the consensus of $953.39 million.
Juno Therapeutics (NASDAQ: JUNO) 1.9% LOWER; reported Q3 EPS of ($0.53), $0.12 worse than the analyst estimate of ($0.41). Revenue for the quarter came in at $1.6 million, versus $0 reported last year. Juno continues to expect 2015 cash burn, excluding cash inflows or outflows from business development activities and litigation, to be at the higher end of its guidance of between $125 million and $150 million.
