Item 5.02(b). Departure of Named Executive Officer

On December�8, 2014,�IBM announced that Robert C. Weber, Senior Vice President, Legal and Regulatory Affairs, and General Counsel will no longer serve as an officer of the company, effective January�1, 2015.� As of that date, he will be employed as a Senior Advisor to the company until he retires later in 2015.� Mr.�Weber has been an officer of IBM since 2006 and will turn age 64 later this month.
