1. This transaction was executed in multiple trades at prices ranging from $49.92 to $50.42. The price reported above reflects the weighted average sale price. The reporting person hereby undertakes to provide upon request to the SEC staff, the issuer or a security holder of the issuer full information regarding the number of shares and prices at which the transaction was effected.
2. The number of shares reported as beneficially owned by the reporting person following the transaction reported herein has been reduced by 90 shares to adjust for an overstatement of 90 shares in Column 5 of the Form 4 filed by the reporting person on September 29, 2017.

          Commission (the "SEC") a Form ID, including amendments thereto, and
          any other documents necessary or appropriate to obtain codes and
          passwords enabling the undersigned to make electronic filings with the
          SEC of reports required by Section 16(a) of the Securities Exchange
          Act of 1934 or any rule or regulation of the SEC;

  (2)     execute for and on behalf of the undersigned, in the
          undersigned's capacity as an officer and/or director of Korn/Ferry
          International (the "Company"), Forms 3, 4, and 5 in accordance with
          Section 16(a) of the Securities Exchange Act of 1934 and the rules
