Item 8.01 Other Events.

On January 2, 2018, General Cable Corporation, a Delaware corporation (the “Company”), established a record date of January 12, 2018, for a special meeting of stockholders of the Company to be held on February 16, 2018. At the special meeting, the stockholders of the Company will be asked to consider and vote on a proposal to adopt the previously announced Agreement and Plan of Merger, dated as of December 3, 2017, as it may be amended from time to time, by and among the Company, Prysmian S.p.A., a company organized under the laws of the Republic of Italy (“Parent”), and Alisea Corp., a Delaware corporation and a wholly owned subsidiary of Parent (“Merger Sub”), providing for the merger of Merger Sub with and into the Company (the “Merger”), with the Company surviving the Merger as a wholly owned subsidiary of Parent.
