On December 21, 2017, J. Alexanders Holdings, Inc. (the Company or J. Alexanders) issued a press release announcing that the Company has filed a definitive proxy statement with the Securities and Exchange Commission (the SEC) for the special meeting of its shareholders in connection with the Companys previously announced acquisition of Ninety Nine Restaurant & Pub (99 Restaurants). The press release also announced that the special meeting of the Companys shareholders will be held at 2:00 p.m. Central Time on January 30, 2018, at the Loews Vanderbilt Hotel, 2100 West End Avenue, Nashville, Tennessee 37203, and only holders of record of J. Alexanders common stock as of the close of business on December 19, 2017 shall be entitled to vote at the meeting. A copy of the press release is being furnished as Exhibit 99.1.

Meeting for January 30, 2018
NASHVILLE, Tenn., December 21, 2017 (BUSINESS WIRE) J. Alexanders Holdings, Inc. (NYSE: JAX) (J. Alexanders) today announced that it has filed definitive proxy materials and has scheduled a special meeting of shareholders for January 30, 2018 in connection with J. Alexanders previously announced acquisition of Ninety Nine Restaurant & Pub (99 Restaurants).
J. Alexanders special meeting of shareholders will be held on January 30, 2018 at 2:00 p.m. Central Time, at the Loews Vanderbilt Hotel, 2100 West End Avenue, Nashville, Tennessee, 37203. The meeting is being held to seek shareholder approval of the merger agreement and the transactions contemplated thereby. Holders of J. Alexanders common stock of record as of the close of business on December 19, 2017 will be entitled to vote at the meeting.
The J. Alexanders Board of Directors believes this transaction will create attractive value for, and is in the best interest of, all shareholders, for reasons including:
