Syntax-Brillian (Nasdaq: BRLC) 41% LOWER; issued a filing to the SEC in which the Company announced it has amended its credit agreements with certain lenders to establish a floor of 15.5% for interest rates on base rate loans. The changes also require the Company to make more than $8 million in payments and possibly accept a loss of operational autonomy.

OpenTV Corp. (Nasdaq: OPTV) 31% HIGHER; reports Q4 EPS of $0.08, 9 cents better than the analyst estimate of ($0.01). Revenues for the quarter were $38.2 million, versus the consensus of $29.72 million.

Orthofix International N.V., (NASDAQ: OFIX) 28.9% LOWER; reported Q4 EPS of $0.45, 17 cents lower than the analyst estimate of $0.62. Revenues for the quarter came in at $128.8 million, versus the consensus of $129.88 million.

United Natural Foods (Nasdaq: UNFI) 28.8% LOWER; reports Q2 EPS of $0.29, 1 cent lower than the analyst estimate of $0.30. Revenues for the quarter were $830.7 million, versus the consensus of $816.48 million. Sees FY08 EPS of $1.12-$1.14, versus the consensus of $1.40.

Cbeyond Inc. (Nasdaq: CBEY) 26% LOWER; reports Q4 EPS of $0.10 ex-items, in-line with the estimate of $0.10. Revenues for the quarter were $76.9 million, versus the consensus of $76.74 million. Full-year 2008 $355-$360 million versus $364.4 million.

ESS Technology (Nasdaq: ESST) 25% HIGHER; announced it will be acquired by Imperium Partners Group for $1.64 per share, totaling $58 million. The buyout offer represents a 37% premium from ESS's closing price on Thursday.

Life Time Fitness Inc. (NYSE: LTM) 21.4% LOWER; reports Q4 EPS of $0.48, versus the consensus of $0.48. Revenues came in at $171.1 million, versus the consensus of $171.87 million. Life Time sees 2008 EPS of $2.05-$2.08, versus the consensus of $2.18.

Navigant Consulting (NYSE: NCI) 19.9% HIGHER; reports Q4 EPS of $0.22, 8 cents better than the analyst estimate of $0.14. Revenues for the quarter were $203 million, versus the consensus of $188.32 million.

Force Protection Inc. (Nasdaq: FRPT) 14.7% HIGHER; Received a $115M order for an additional 174 Cougar Mastiff vehicles, vehicle spare parts, and field support for the UK Ministry of Defense.

Omnicare, Inc. (NYSE: OCR) 9.2% HIGHER; the company named Jeffrey W. Ubben, chief investment officer and a founder of ValueAct Capital, to its Board of Directors.

ReneSola Ltd. (NYSE: SOL) 9.1% HIGHER; Goldman upgrades to Buy
