Seahawk Drilling (Nasdaq: HAWK) 39.0% LOWER; Hercules Offshore (Nasdaq: HERO) announced that they have entered into an agreement to acquire 20 jackup rigs located in the Gulf of Mexico and related assets from Seahawk Drilling, Inc. Consideration on the deal is 22.3 million shares of Hercules Offshore common stock and cash consideration of $25 million. The amount of Hercules Offshore common shares issued will be proportionally reduced at closing, based on a fixed price of $3.36 per share. The stock was also downgraded at Wells Fargo and Global Hunter.

Rand Logistics, Inc. (Nasdaq: RLOG) 24.6% HIGHER; reported Q3 EPS of $0.24, 7 cents better than the analyst estimate of $0.17. Revenue for the quarter came in at $36.61 million versus the consensus estimate of $33.1 million.

Stanley Furniture (Nasdaq: STLY) 20.4% HIGHER; not hearing any news today. The stock seems to be breaking above $5.50, a level not seen since July of last year.

Tianyin Pharmaceutical Co. (NYSE: TPI) 18.2% HIGHER; reported Q2 EPS of $0.14, versus $0.08 last year. Revenue for the quarter came in at $25.3 million versus the consensus estimate of $21.95 million. Reiterates FY11 outlook.

Interphase Corp. (Nasdaq: INPH) 17.0% HIGHER; continuing higher today, from Friday, following a Q410 earnings beat. Shares hit a 52-week high of $5.10 today. INPH reported hitting a Q410 profit of $0.06 per share, compared to a loss of $0.57 last year during the same period.

Atlas Air Worldwide (Nasdaq: AAWW) 14.4% HIGHER; reported Q4 adjusted EPS of $1.58, 24 cents better than the analyst estimate of $1.34. Revenue for the quarter came in at $359.7 million versus the consensus estimate of $341.99 million. AAWW sees FY2011 EPS of about $5.30, versus the consensus of $5.26.

Sutor Technology Group Limited (Nasdaq: SUTR) 11.9% LOWER; eported Q2 EPS of $0.07, $0.02 worse than the analyst estimate of $0.09. Revenue for the quarter came in at $99.4 million versus the consensus estimate of $110.53 million.

AXT, Inc. (NASDAQ: AXTI) 11.1% LOWER; Needham & Company downgraded from Buy to Hold.

Emergency Medical Services Corp. (NYSE: EMS) 11% LOWER; announced Monday that it has agreed to be acquired by private-equity firm Clayton Dubilier & Rice LLC in a leveraged buyout valued at roughly $3.2 billion.

EnerNOC (Nasdaq: ENOC) 10.4% LOWER; after responding to the public statement issued February 4, 2011, by PJM Interconnection and its Independent Market Monitor related to the measurement and verification of demand response resources participating in its market earlier, the stock was downgraded at both Credit Suisse and Pritchard this morning.
