Winn-Dixie Stores, Inc. (NASDAQ: WINN) 71.1% HIGHER; BI-LO, LLC and Winn-Dixie today announced that the companies will merge. Under the terms of the definitive agreement, BI-LO will acquire all of the outstanding shares of Winn-Dixie stock in the merger. Winn-Dixie shareholders will receive $9.50 in cash per share of Winn-Dixie common stock.

JAKKS Pacific (Nasdaq: JAKK) 18.4% LOWER; now sees FY11 adj-EPS of 37-40 cents, down from $1.32-$1.35 previously. The company sees sales of about $660 million, down from a prior outlook of $770-$775 million. JAKKS cited a challenging sales environment for toys, especially during the holidays.

THQ (Nasdaq: THQI) 16% HIGHER; shares continuing to bounce very modestly off lows not seen since 1997. Since Dec. 7th, shares have fallen more than 47 percent amid lowered Q3 sales guidance.

VirnetX (AMEX: VHC) 14.9% HIGHER; stock jumped nearly 20 percent over the last hour of trade. Not hearing any company-specific news, however, it appears the stock is breaking above the 200-day SMA. Volume spiked sharply as the price jumped.

Towerstream (Nasdaq: TWER) 14.2% HIGHER; technicians jumping back in as the stock is over the $2 level today. Volume is rather heavy today.

Eldorado Gold Corporation (NYSE: EGO) 12.9% LOWER; has entered into a definitive agreement with European Goldfields Limited pursuant to which Eldorado has agreed to acquire all of the issued and outstanding common shares of European Goldfields by way of a plan of arrangement under the Yukon Business Corporations Act. Under the Arrangement, shareholders of European Goldfields will receive 0.85 Eldorado shares and C$0.0001 in cash per European Goldfields share.

Quepasa (AMEX: QPSA) 12.9% LOWER; the company's myYearbook app was launched to the iPad today, however traders are likely playing the "buy the rumor, sell the news."

Trius Therapeutics (Nasdaq: TSRX) 11.6% LOWER; announced today that tedizolid phosphate met the primary objective of non-inferiority for the efficacy outcome of early clinical response versus the comparator linezolid in patients with acute bacterial skin and skin structure infections. Tedizolid also met all secondary efficacy outcomes in this first of two pivotal Phase 3 trials that were designed to support the filing of a New Drug Application with the FDA as well as a Marketing Authorization Application with the European Medicines Agency. Traders sold the news: after opening up 6 percent, the stock plunged below several important technical levels.

Pinnacle Airlines (Nasdaq: PNCL) 11.2% LOWER; an analyst at Maxim initiated coverage on the stock with a Sell rating and $0 price target this morning, saying the likelihood of a formal bankruptcy filing is "high."

Bacterin International (NYSE: BONE) 10.7% HIGHER; stock making a move over the $2.10 level and 200-day SMA today.

Ampio Pharmaceuticals (Nasdaq: AMPE) 10.5% HIGHER; shares fell about 40 percent since Monday of last week amid a flurry of allegations from anonymous short-sellers. Early Friday, Ampio management responded to the allegations by saying the claims were "factually inaccurate and materially misleading."
