Titanium Metals Corporation (NYSE: TIE) 42.4% HIGHER; entered into a definitive merger agreement under which Precision Castparts Corp. (NYSE: PCP), has agreed to acquire all of the common stock of TIMET for $16.50 per share in cash. The total equity value of the transaction is approximately $2.9 billion. The cash consideration represents a premium of 36% over the 30-day average of TIMET shares and a 44% premium to the closing price of TIMET shares on November 8, 2012.

Galena Biopharma, Inc. (Nasdaq: GALE) 34.5% LOWER; could be getting hit from a PropThink press release issued earlier. For the release, click here. The company will also be making a presentation at the Lazard Capital Markets 9th Annual Healthcare Conference tomorrow.

Clovis Oncology, Inc. (Nasdaq: CLVS) 33.6% LOWER; announced the results from its LEAP (Low hENT1 and Adenocarcinoma of the Pancreas) study of CO-101 versus gemcitabine in metastatic pancreatic cancer. The company will suspending CO-101 development pending further evaluation of the LEAP data, and focus its resources on the three product candidates in its portfolio.

China Digital TV Holding Co. (NYSE: STV) 31.1% HIGHER; declared a special dividend of $2.30 per share. The dividend will be payable on December 3, 2012, to stockholders of record on November 26, 2012. The annual yield on the dividend is 76.9 percent.

Star Scientific, Inc. (Nasdaq: STSI) 23.4% LOWER; filed a 10-Q for its third quarter. Revs rose from $401 thousand up to $1.75 million, while the company also swung to profit of $366,000, from a loss of $6.57 million last year. Pro-forma net loss was 5 cents per share, flat with the same period last year.

LDK Solar Co., Ltd. (NYSE: LDK) 18.9% HIGHER; bouncing higher following the U.S. Presidential election last week, as well as the U.S. Commerce Department upholding solar tariffs last week.

Mrexis, Inc. (Nasdaq: MYRX) 17.3% HIGHER announced that its Board of Directors has determined, after extensive and careful consideration of potential strategic alternatives, that it is in the best interests of the Company and its shareholders to dissolve the Company and liquidate its assets.

Recovery Energy (Nasdaq: RECV) 17.0% LOWER; reported Q3 EPS of ($0.16), $0.03 better than the analyst estimate of ($0.19). Revenue for the quarter came in at $1.9 million versus the consensus estimate of $2.6 million.

Beazer Homes Usa, Inc. (NYSE: BZH) 14.1% LOWER; reported Q3 EPS of ($2.57), $1.35 worse than the analyst estimate of ($1.22). Revenue for the quarter came in at $370.93 million versus the consensus estimate of $331.22 million. New home orders up 10.3 percent to 1,110, cancellation rate down 310 bps to 31.1 percent, and average sales price about flat at $228,600.
