Schiff Nutrition International, Inc. (NYSE: SHF) 45.9% HIGHER; agreed to be acquired by Bayer HealthCare LLC for approx. US$1.2 billion, or $34 per share in cash.
The Warnaco Group, Inc. (NYSE: WRC) 37.5% HIGHER; PVH Corp. (NYSE: PVH) will acquire Warnaco and holders of Warnaco common stock will receive $51.75 in cash and 0.1822 of a share of PVH common stock for each share of Warnaco common stock. The transaction values Warnaco at approximately $2.9 billion.
Oxford Resource Partners, LP (NYSE: OXF) 29.8% LOWER; declared a quarterly dividend of $0.20 per share, or $0.8 annualized. This is a 54.3% decrease from the prior dividend of $0.4375.
OPNET Technologies, Inc. (Nasdaq: OPNT) 29.2% HIGHER; Riverbed Technology (Nasdaq: RVBD) announced an agreement Monday morning to acquire OPNET Technologies for $43 per share in cash and stock, representing an equity value of $1 billion and an enterprise value of $921 million.
Western Union (NYSE: WU) 28.6 % LOWER; reported Q3 EPS of $0.46, $0.01 better than the analyst estimate of $0.45. Revenue for the quarter came in at $1.42 billion versus the consensus estimate of $1.47 billion. Sees FY2012 EPS of $1.65 - $1.68, versus prior guidance of $1.73 - $1.77 and the consensus of $1.76. Downgraded by several firms today following the lowered outlook.
BioCryst Pharmaceuticals, Inc. (Nasdaq: BCRX) 27.7% LOWER; announced the withdrawal of its Investigational New Drug application (IND) for the antiviral nucleoside, BCX5191, following a discussion with the U.S. Food and Drug Administration (FDA).
Ceragon Networks Ltd (Nasdaq: CRNT) 25.2% LOWER; reported Q3 EPS of $0.09, $0.02 worse than the analyst estimate of $0.11. Revenue for the quarter came in at $118 million versus the consensus estimate of $121.32 million.
Hyperdynamics Corporation (NYSE: HDY) 25.2% LOWER; announced that its wholly owned subsidiary, SCS Corporation Ltd, has entered into an agreement with a subsidiary of Tullow Oil plc, a leading independent oil & gas exploration company, for exclusive negotiations in respect of a potential acquisition of a forty percent (40%) gross interest in the Concession offshore Guinea. The exclusivity period is scheduled to terminate on November 19, 2012.
Red Robin Gourmet Burgers, Inc. (Nasdaq: RRGB) 24.1% HIGHER; reported Q3 EPS of $0.24, $0.08 better than the analyst estimate of $0.16. Revenue for the quarter came in at $213.3 million versus the consensus estimate of $211.69 million.
Peregrine Pharmaceuticals (Nasdaq: PPHM) 23.1% HIGHER; announced the presentation of preclinical data showing specific localization and enhancement of anti-tumor functions of immune cells inside tumors following administration of phosphatidylserine (PS)-targeting antibodies. These data show that by specifically targeting PS exposed on tumor blood vessels, Peregrine's antibodies mediate beneficial changes in the local tumor environment including the increase of signaling chemicals associated with anti-tumor immune responses, a reduction of signaling chemicals associated with immune suppression, as well as increasing the prevalence of tumor-destroying immune cells.
