Mayflower Bancorp, Inc. (NASDAQ: MFLR) 51% HIGHER; Independent Bank Corp. (NASDAQ: INDB), parent of Rockland Trust Company, and Mayflower Bancorp, Inc. (NASDAQ: MFLR), parent of Mayflower Bank, have signed a definitive agreement for Independent to acquire Mayflower and Rockland Trust to acquire Mayflower Bank.

Comstock Homebuilding (NASDAQ: CHCI) 41% HIGHER; reported Q1 EPS of $0.03, versus ($0.07) reported last year. Revenue for the quarter came in at $11.4 million, versus $3.2 million reported last year. Comstock Homebuilding sees FY2013 Revenue of $64-69 million.

The Exone Company (NASDAQ: XONE) 12% LOWER; reported Q1 EPS of ($0.20), $0.09 worse than the analyst estimate of ($0.11). Revenue for the quarter rose 193% to $7.9 million but missed the consensus estimate of $9.15 million.

TranSwitch Corp. (NASDAQ: TXCC) 11% HIGHER; retained Needham & Company as financial advisor to assist the Board of Directors in evaluating various strategic alternatives available to the Company. “As a result of certain confidential inquiries TranSwitch has received, our Board has concluded that hiring Needham and Company to assist in evaluating all of our alternatives best furthers the interests of our shareholders,” stated Dr. M. Ali Khatibzadeh, President and CEO of TranSwitch Corporation.

Vipshop Holdings (NYSE: VIPS) 10% HIGHER; reported Q1 EPS of $0.11, $0.07 better than the analyst estimate of $0.04. Revenue for the quarter rose 206.8% to $310.7 million versus the consensus estimate of $268.74 million. Vipshop Holdings sees Q2 2013 revenue of $330-335 million, versus the consensus of $320.59 million.

Affymax, Inc. (NASDAQ: AFFY) 9% HIGHER; disclosed that with the retention of restructuring firm Brenner Group John Orwin's employment will be terminated and he will no longer hold the position of Chief Executive Officer after May 15, 2013.

Rockwell Medical, Inc. (Nasdaq: RMTI) 8% LOWER; announced today its intention to offer shares of its common stock in an underwritten public offering. Rockwell also expects to grant the underwriters a 30-day option to purchase up to an additional 15 percent of the shares of common stock offered in the public offering to cover over-allotments, if any.

VOXX International (NASDAQ: VOXX) 7% HIGHER; reported Q4 EPS of $0.43. May not compare to the estimate of $0.19. Revenue for the quarter came in at $206.8 million versus the consensus estimate of $202.79 million.

Insmed (NASDAQ: INSM) 7% HIGHER; Lazard Capital initiates coverage with a Buy. PT $21.00.

SunPower (Nasdaq: SPWR) 7% HIGHER; For Q213, SunPower sees revs of $550 million to $600 million and non-GAAP EPS of 5 cents to 15 cents. Numbers compare with Street consensus views calling for revs of $513 million and a loss of 2 cents per share.

Deere & Co. (NYSE: DE) 4% LOWER; reported Q2 EPS of $2.76, $0.04 better than the analyst estimate of $2.72. Revenue for the quarter came in at $10.91 billion versus the consensus estimate of $9.81 billion. Cautious outlook.

Wabtec (NYSE: WAB) 3% HIGHER; 2-for-1 stock split, raises dividend 60%

Aeropostale, Inc. (NYSE: ARO) 3% HIGHER; upgraded to Outperform at BMO

ACADIA Pharmaceuticals Inc. (Nasdaq: ACAD) 3% HIGHER; prices stock offering at $12.50/sh

Renren (NYSE: RENN) 2% LOWER; downgraded at Oppenheimer

Pandora Media, Inc. (NASDAQ: P) 2% LOWER; reports Google plans music service at today's I/O conference.

TD Ameritrade Holding Corporation (AMTD) 2% LOWER; downgraded at Barclays

BlackBerry (NASDAQ: BBRY) 2% LOWER; Bernstein downgraded from Outperform to Market Perform with a price target of $15.00 (from $22.00). Analyst Pierre Ferragu doesn't think a long position provides an attractive risk / reward, but he doesn't see a profitable short play either, and is recommending investors stay on the sidelines for the next 6 months.

Stratasys Ltd. (NASDAQ: SSYS) 1% LOWER; Lower on weak The Exone Company (XONE) results.

Standard Pacific Corp. (NYSE: SPF) 1% LOWER; announced the pricing of the previously announced public offering by selling stockholder MP CA Homes LLC, an affiliate of MatlinPatterson Global Advisers LLC, of 20,000,000 of its 237,212,786 shares (on an as converted basis) of the Company's common stock, at a public offering price of $9.50 per share, resulting in gross proceeds to the selling stockholder of approximately $190,000,000, before deducting underwriting discounts and commissions and other estimated offering expenses.
