BGC Partners, Inc. (Nasdaq: BGCP) 41% HIGHER; entered into an agreement pursuant to which it will sell its benchmark, on-the-run, U.S. Treasury fully electronic trading platform to NASDAQ OMX Group, Inc. (NASDAQ: NDAQ). Total consideration for this transaction is up to $1.234 billion, consisting of $750 million in cash plus an earn-out of up to $484 million of NASDAQ OMX common stock[1] to be paid ratably over 15 years.

Obagi Medical Products, Inc. (NASDAQ: OMPI) 15% HIGHER; Merz Pharma Group outlined a proposal to acquire all of the outstanding common stock of Obagi for $22 per share in cash.

Affymax, Inc. (NASDAQ: AFFY) 12% LOWER; reported Q4 EPS of ($1.85), which may not compare with the analyst estimate of ($0.61). Revenue for the quarter came in at $14.77 million versus the consensus estimate of $14.81 million.

Nuance Communications, Inc. (Nasdaq: NUAN) 9% HIGHER; in a 13G filing hedge fund titan Carl Icahn disclosed a 9.27%, or 29,329,291 share, stake in the company. Icahn did not hold shares at the end of the latest quarter ending December 31, 2012.

Humana Inc. (NYSE: HUM) 9% HIGHER; insurers get 3.3% increase in Medicare Advantage rates.

Nordic American Tankers Limited (NYSE: NAT) 9% LOWER; is commencing a public offering of $87 million aggregate amount of common shares pursuant to the Company's effective shelf registration statement. The Company's Chairman and Chief Executive Officer, Mr. Herbjorn Hansson is expected to purchase about $1.5 million worth of common shares in the offering on the same terms as other investors. Morgan Stanley & Co. LLC is acting as the bookrunning manager for the offering and DNB Markets Inc., Skandinaviska Enskilda Banken AB and Pareto Securities Inc. are acting as co-managers of the offering. The Company has granted the underwriters a 30-day option to purchase up to an additional $13.05 million aggregate amount of common shares.

eHealth (Nasdaq: EHTH) 7% HIGHER; upgraded at Janney and BofA/Merrill Lynch

Hewlett-Packard (NYSE: HPQ) 3% LOWER; downgraded at Goldman Sachs

UnitedHealth Group (NYSE: UNH) 3% HIGHER; insurers get 3.3% increase in Medicare Advantage rates.

The Nasdaq OMX Group, Inc. (Nasdaq: NDAQ) 3% LOWER; Acquires eSpeed from BGC Partners for up to $1.234 billion.

AMSC (Nasdaq: AMSC) 3% HIGHER; updated its guidance for the fourth fiscal quarter ending March 31, 2013. The company now expects that its revenues will be between $19 million and $20 million for the fourth quarter of fiscal 2012. AMSC also expects to report cash, cash equivalents and restricted cash of between $49 million and $50 million as of March 31, 2013. The company's previous guidance for the fourth fiscal quarter was for revenue of at least $18 million and cash, cash equivalents and restricted cash of more than $48 million.

Supervalu, Inc. (NYSE: SVU) 3% HIGHER; SAC Capital Raises Stake to 5.06%

Shoe Carnival, Inc. (NASDAQ: SCVL) 3% LOWER; reported Q4 EPS of $0.16, in-line with the analyst estimate of $0.16. Revenue for the quarter came in at $205.7 million versus the consensus estimate of $210.05 million. Comps rose 0.5 percent. Sees Q1 comps down 2.0 to 4.0 percent. Sees Q1 EPS of $0.36 - $0.44 on revs of $226 - $232 million. The Street sees Q1 EPS of $0.57 and revs of $239.7 million.

Universal Insurance Holdings, Inc. (AMEX: UVE) 3% HIGHER; has completed a repurchase of 2,000,000 shares of the Company's common stock held by Bradley I. Meier, the Company's former Chief Executive Officer, for an aggregate purchase price of $8,040,000 ($4.02 per share) in a privately negotiated transaction. The Company has agreed to repurchase an additional 2,000,000 shares of common stock from Mr. Meier for the same aggregate repurchase price on or before June 1, 2013. Mr. Meier has also granted the Company a right of first refusal, which is effective through December 31, 2014, on any future sales of his shares of Company common stock to a third party.

Investors Real Estate Trust (NASDAQ: IRET) 2% LOWER; announced the commencement of an underwritten public offering of 8,000,000 common shares of beneficial interest, no par value per share, of the Company ("Common Shares"). The Company intends to grant the underwriters of the offering a 30-day option to purchase up to an additional 1,200,000 Common Shares at the public offering price to cover over-allotments, if any. The Common Shares will be offered pursuant to the Company's effective shelf registration statement on Form S-3 that was filed with the Securities and Exchange Commission on April 9, 2010.

Sciclone Pharmaceuticals, Inc. (NASDAQ: SCLN) 2% LOWER; reported Q4 EPS of $0.04, $0.08 worse than the analyst estimate of $0.12. Revenue for the quarter came in at $33.1 million versus the consensus estimate of $35.3 million. Sciclone Pharmaceuticals, Inc. sees FY2013 EPS of $0.66-0.72, versus the consensus of $0.65. Sees FY revs of $150 to $155 million vs $153.07 expected.
