Somaxon Pharmaceuticals, Inc. (NASDAQ: SOMX) 105% HIGHER; Pernix Therapeutics Holdings, Inc. (AMEX: PTX) will acquire Somaxon in a stock-for-stock transaction with a total equity value of $25 million

TripAdvisor Inc. (NASDAQ: TRIP) INDICATED HIGHER; Liberty Interactive Corporation (Nasdaq: LINTA) has purchased a total of 4,799,848 shares of common stock of TripAdvisor from Barry Diller and The Diller-von Furstenberg Family Foundation at a price of $62.50 per share.

TNS, Inc. (NYSE: TNS) 42% HIGHER; entered into a definitive merger agreement to be acquired by an investor group led by Siris Capital Group ("Siris") in a transaction valued at approximately $862 million. Siris will acquire all of the outstanding common shares of TNS for $21.00 per share in cash.

Urban Outfitters Inc. (NASDAQ: URBN) 6% HIGHER; In its third quarter 10-Q the company said "Thus far during the fourth quarter of fiscal 2013, comparable Retail segment net sales are high single-digit positive." Analysts on average are looking for comps up 4.7%.

SPX Corporation (NYSE: SPW) 6% LOWER; Reports the company is in talks to acquire Gardner Denver.

Main Street Capital (NYSE: MAIN) 5% LOWER; has priced a public offering of 2,500,000 shares of its common stock in an underwritten public offering. Pricing was set at $28.00 per share, and net proceeds from the offering,

Gardner Denver Inc. (NYSE: GDI) 4% HIGHER; eports from Reuters that SPX Corp is in exclusive talks to acquire the company in a deal that could be finalized by the end of the year

Michael Kors (NYSE: KORS) 3% HIGHER; Goldman Sachs resumes coverage on with a CL Buy rating and $75 price target, suggesting 45% upside.

Monster Beverage Corporation (NASDAQ: MNST) 3% HIGHER; Upgraded to Buy at Stifel

LivePerson, Inc. (Nasdaq: LPSN) 3% HIGHER; On December 10, 2012, the Board of Directors authorized a stock repurchase program to give the company the ability to repurchase shares of its common stock at times and prices considered appropriate by the Board of Directors or a committee appointed by the Board of Directors. The stock repurchase program authorizes the Company, depending upon prevailing market conditions and other corporate considerations, to purchase up to an aggregate purchase price of $20.0 million, in the open market or privately negotiated transactions, depending upon prevailing market conditions and other corporate considerations.

Stillwater Mining Co. (NYSE: SWC) 3% HIGHER; will replace JDA Software Group Inc. (NASDAQ: JDAS) in the S&P SmallCap 600 after the close of trading on Thursday, December 13. RedPrairie Corp. is acquiring JDA Software Group in a deal expected to be completed on or about that date pending final approvals.

Hertz Global Holdings, Inc. (NYSE: HTZ) 3% LOWER; announced today the sale of an aggregate of 50,000,000 shares of common stock by investment funds associated with Clayton, Dubilier & Rice, LLC, The Carlyle Group and BofA Merrill Lynch to J.P. Morgan, as the sole underwriter in the registered public offering of those shares.

Kinder Morgan Energy Partners, L.P. (NYSE: KMP) 3% LOWER; is commencing an underwritten public offering of 3,900,000 common units representing limited partner interests pursuant to an effective registration statement. The Partnership intends to grant the underwriter a 30-day option to purchase a maximum of 585,000 additional common units if the underwriter sells more than 3,900,000 common units in the Offering. The Offering is subject to market and other conditions, and the Partnership may change the number of common units offered or the timing of the Offering or decide not to proceed with the Offering.

HCA Holdings, Inc. (NYSE: HCA) 3% LOWER; announced that certain of its stockholders, consisting principally of affiliates of, or funds sponsored by, Bain Capital Partners, LLC and Kohlberg Kravis Roberts & Co., intend to offer for sale in an underwritten secondary offering approximately 32 million shares of its common stock pursuant to the Company's shelf registration statement filed with the Securities and Exchange Commission. The Selling Stockholders will receive all of the proceeds from this offering. No shares are being sold by management or the Company.
