Online Resources (Nasdaq: ORCC) 82% HIGHER; ACI Worldwide (Nasdaq: ACIW) and Online Resources announced that they have entered into a definitive transaction agreement. Under the terms of the agreement, ACI Worldwide will acquire Online Resources in an all cash transaction for $3.85 per share. The boards of directors of both companies have approved the transaction.

Celsion Corporation (NASDAQ: CLSN) 78% LOWER; announced that ThermoDox® in combination with radiofrequency ablation (RFA) did not meet the primary endpoint of the Phase III HEAT Study in patients with hepatocellular carcinoma (HCC), also known as primary liver cancer.

WMS Industries Inc. (NYSE: WMS) 55% HIGHER; Scientific Games Corporation (Nasdaq: SGMS) and WMS Industries today announced that the companies have entered into a definitive agreement under which Scientific Games has agreed to acquire WMS for $26.00 in cash per common share or approximately $1.5 billion.

Revenue for the quarter came in at $151.2 million versus the consensus estimate of $144.28 million. The company sees Q1 EPS of $0.11-$0.12, versus the consensus of $0.13. Sees Q1 revs of $138-$141 billion, versus the consensus of $139.6 million. The company sees FY EPS of $0.60-$0.61, versus the consensus of $0.61. Fusion-io (NYSE: FIO) 16% LOWER; reported Q2 EPS of $0.13, $0.05 better than the analyst estimate of $0.08. Revenue for the quarter came in at $120.6 million versus the consensus estimate of $119.92 million. Non-GAAP gross margin for the fiscal second quarter 2013 was 61.9 percent. Skyworks Solutions, Inc. (NASDAQ: SWKS) 12% HIGHER; reported Q1 EPS of $0.55, $0.01 better than the analyst estimate of $0.54. Qualcomm reported Q1 EPS of $1.26, $0.14 better than the analyst estimate of $1.12. Revenue for the quarter came in at $6.02 billion versus the consensus estimate of $5.9 billion. The company sees FY EPS of $4.25-$4.45 versus the consensus of $4.31.

Concur Technologies, Inc. (NASDAQ: CNQR) 6% LOWER; reported Q1 EPS of $0.30, $0.10 better than the analyst estimate of $0.20.
