NewLead Holdings Ltd. (Nasdaq: NEWL) 103% HIGHER; announced that the Company has entered into an agreement to acquire title and excavation rights in properties containing 18.6 million tons of estimated coal reserves for $11.0 million. NewLead also entered into an agreement to acquire ownership and leasehold interests in properties containing approximately 143.1 million tons of coal for $55.0 million.

K-Swiss, Inc. (NASDAQ: KSWS) 48% HIGHER; The company and E.Land World Ltd. announced today entry into a definitive agreement pursuant to which E.Land World will acquire all of the outstanding common stock of KSwiss for $4.75 per share in cash, or a total equity value of approximately $170 million.

Power-One, Inc. (Nasdaq: PWER) 11% LOWER; provided an updated outlook for its fourth quarter 2012 financial results. The Company expects to report fourth quarter revenue of $190 million to $195 million, which is below the previously estimated range of $210 million to $230 million. Softer than expected market conditions in the Renewable Energy business, primarily in Italy and Germany, driven by reduced feed-in tariffs and a difficult financing environment, led to lower sales in the quarter. As a result, the Company expects to report a net loss of $12 million to $15 million for the quarter due to lower than expected gross margins resulting from the revenue shortfall and new product ramp-up costs. Included in the expected results is a loss, net of tax, of approximately $6 million on foreign currency remeasurement due to the strengthening of the Euro versus the dollar late in the fourth quarter. *** The Street sees Q4 EPS of 7 cents and revs of $221.4 million.

Nautilus, Inc. (NYSE: NLS) 10% HIGHER; Nautilus expects to report net sales of approximately $65.0 million for the fourth quarter of 2012, an increase of 8.4% compared to the fourth quarter of 2011. For the full year 2012, net sales are expected to approximate $194.0 million, an increase of 7.5% compared to 2011. Fully diluted earnings per share from continuing operations are estimated to be in the range of $0.21 - $0.23 for the fourth quarter of 2012, compared to $0.11 per share for the fourth quarter of 2011. Fully diluted earnings per share from continuing operations on a full year basis are expected to be in the range of $0.32 - $0.34 in 2012, versus $0.08 per share in 2011. (***Street see EPS of $0.19 on revenue of $62.28 million)

Celsion Corp (NASDAQ: CLSN) 10% LOWER; Brean Capital downgraded from Buy to Sell and slashes its price target from $7 to $1, or 88 percent lower than the current price.

Columbia Sportswear Co (NASDAQ: COLM) 9% LOWER; now expects to report fourth quarter net sales of approximately $499.0 - $503.0 million, a decline of approximately 5 percent compared with fourth quarter 2011 net sales of $526.1 million. Prior fourth quarter outlook anticipated net sales growth of up to 1.5 percent. The Wall Street consensus is $533.8 million. The company said net sales were hampered by a combination of mild winter weather in North America during most of the holiday shopping period, general consumer caution and reduced retail traffic in key markets, and a more promotional environment.

CBS Corporation (NYSE: CBS) 8% HIGHER; announced a pair of strategic initiatives regarding its CBS Outdoor operating segment, which is comprised of two businesses -- one in the Americas and the other in Europe and Asia. For the Outdoor Americas division, the Company has begun the process of converting the business into a real estate investment trust (REIT). For its Outdoor operations in Europe and Asia, the Company will pursue a divestiture of the business, which will be presented as a discontinued operation as of December 31, 2012.

Williams-Sonoma Inc. (NYSE: WSM) 5% LOWER; downgraded at Goldman Sachs and Raymond James

Vanda Pharmaceuticals, Inc. (NASDAQ: VNDA) 4% HIGHER; JMP Securities initiates coverage with a Market Outperform. PT $9.00.

Nu Skin Enterprises Inc. (NYSE: NUS) 4% HIGHER; now projects fourth-quarter revenue of approximately $588 million, representing growth of 19 percent over the prior year. The impact of foreign currency exchange on revenue will be negligible for the quarter. Earnings per share are estimated to be from $0.94 to $0.96. The company's estimated revenue of $2.17 billion for the year represents growth of more than 24 percent in 2012, the company's fifth consecutive record year. The Street sees Q4 revs of $531.6 million and FY12 revs of $2.11 billion

Plexus Corp (NASDAQ: PLXS) 4% HIGHER; reported Q1 EPS of $0.47, $0.03 worse than the analyst estimate of $0.50. Revenue for the quarter came in at $530.5 million versus the consensus estimate of $551.98 million. Plexus Corp sees Q2 2013 EPS of $0.50-0.55, versus the consensus of $0.53. Plexus Corp sees Q2 2013 revenue of $550-580 million, versus the consensus of $561.4 million.

Nordic American Tanker (NYSE: NAT) 4% LOWER; declared a quarterly dividend of $0.16 per share, or $0.64 annualized. This is a 46.7% decrease from the prior dividend of $0.30.

Vivus (NASDAQ: VVUS) 3% LOWER; Brean Capital downgraded from Hold to Sell with a $7 price target, suggesting more than 50% downside.

Regeneron Pharma (NASDAQ: REGN) 3% LOWER; Brean Capital downgraded from Buy to Hold

Northern Tier Energy LP (NYSE: NTI) 3% LOWER; commenced an underwritten public offering of 9,000,000 common units representing limited partner interests in the Partnership held by Northern Tier Holdings LLC.

VEO Pharmaceuticals, Inc. (NASDAQ: AVEO) 3% LOWER; announced that it has commenced an underwritten public offering of shares of its common stock. All of the shares in the offering are to be sold by AVEO. The proposed size of the offering was note disclosed.

Herbalife Ltd. (NYSE: HLF) 2% LOWER; updated guidance not as strong as expected.

Citigroup, Inc. (NYSE: C) 2% LOWER; reported Q4 EPS of $0.69, which may not compare the analyst estimate of $1.04. Revenue for the quarter came in at $18.7 billion (ex CVA/DVA) versus the consensus estimate of $18.82 billion. Original EPS was $0.38, before items.

Cree, Inc. (NASDAQ: CREE) 2% LOWER; Jefferies downgraded the stock from Buy to Underperform.

Lamar Advertising Co. (NASDAQ: LAMR) 4% HIGHER; up on CBS REIT news

Williams-Sonoma, Inc. (NYSE: WSM) 2% LOWER; announced that net revenues for the nine-week holiday period (October 29, 2012 - December 30, 2012) increased 4.8% to $1.014 billion versus the comparable last year nine-week holiday period ended January 1, 2012. Comparable brand revenues increased 4.4%.

eBay, Inc. (NASDAQ: EBAY) 1% HIGHER; reported Q4 EPS of $0.70, $0.01 better than the analyst estimate of $0.69. Revenue for the quarter came in at $4 billion versus the consensus estimate of $3.98 billion. eBay, Inc. sees Q1 2013 EPS of $0.60-0.62, versus the consensus of $0.63. Sees Q1 revenues of $3.65-$3.75 billion, versus the consensus of $3.79 billion. eBay, Inc. sees FY2013 EPS of $2.70-2.75, versus the consensus of $2.74. Sees FY2013 revenues of $16-$16.5 billion, versus the consensus of $16.3 billion.

Bank Of America Corp. (NYSE: BAC) 1% LOWER; reported Q4 EPS of $0.03, which may not compare with the analyst estimate of $0.02. Revenue for the quarter came in at $22.6 billion versus the consensus estimate of $22.4 billion.
