Cell Therapeutics, Inc. (NASDAQ: CTIC) 12.6% HIGHER; Baxter International Inc. (NYSE: BAX) and Cell Therapeutics, Inc. jointly announced that they have entered into an exclusive worldwide licensing agreement to develop and commercialize pacritinib. Pacritinib is a novel investigational JAK2/FLT3 inhibitor with activity against genetic mutations linked to myelofibrosis, leukemia and certain solid tumors. Pacritinib is currently in Phase III development for patients with myelofibrosis, a chronic malignant bone marrow disorder.

Advanced Emissions Solutions, Inc. (Nasdaq: ADES) 9.4% LOWER; announced its intention to offer, subject to market and other conditions, shares of its common stock in an underwritten public offering. The Company also expects to grant the underwriters a 30-day option to purchase additional shares of common stock to cover over-allotments, if any. The offering is subject to market conditions, and there can be no assurance as to whether or when the offering may be completed, or as to the actual size or terms of the offering. The Company intends to use the proceeds from this offering for general working capital and corporate purposes, to partially execute against its increasing Emissions Control backlog (which was $56.6 million on 9/30/13), and to allow it to take advantage of growth opportunities. The offering is expected to price before 9:30 am EDT on November 15, 2013.

WPX Energy (NYSE: WPX) 6% HIGHER; intends to form a master limited partnership, or MLP, in the first half of 2014 and to offer to the public common units representing limited partner units in the MLP, which will hold working interests in mature, producing natural gas properties located in the Piceance Basin in Colorado.

Agilent Technologies, Inc. (NYSE: A) 5.1% HIGHER; reported Q4 EPS of $0.81, $0.05 better than the analyst estimate of $0.76. Revenue for the quarter came in at $1.72 billion versus the consensus estimate of $1.71 billion. Agilent Technologies, Inc. sees FY2014 EPS of $3.03-$3.33, versus the consensus of $3.17. Agilent Technologies, Inc. sees FY2014 revenue of $6.95-7.15 billion, versus the consensus of $7.04 billion.

Kimberly-Clark Corp. (NYSE: KMB) 4.8% HIGHER; announced that its board of directors has authorized management to pursue a potential tax-free spin-off of the company's health care business. A spin-off would create a stand-alone, publicly traded health care company with approximately $1.6 billion in annual net sales and leading market positions in both surgical and infection prevention products and medical devices.

OMNOVA Solutions Inc. (NYSE: OMN) 3.5% LOWER; updates guidance

LinnCo, LLC (Nasdaq: LNCO) 1.8% HIGHER; LINN Energy, LLC (Nasdaq: LINE), LinnCo, LLC (Nasdaq: LNCO) and Berry Petroleum Company (NYSE: BRY) announced that the final Registration Statement on Form S-4 has been declared effective by the Securities and Exchange Commission ("SEC"), and the Companies have also filed definitive proxy materials with the SEC. The Companies intend to commence mailing proxy materials in connection with the meetings of LINN Energy unitholders, LinnCo shareholders and Berry Petroleum stockholders for the purpose of voting on the previously announced merger agreement. T-Mobile US, Inc. (NYSE: TMUS) 1.3% LOWER; announced the pricing of an underwritten public offering of 66,150,000 shares of T-Mobile’s common stock at a price of $25.00 per share. The net proceeds to T-Mobile are expected to be approximately $1.6 billion, after deducting underwriting discounts and commissions, and other estimated offering expenses payable by T-Mobile. In addition, the underwriters have an option to purchase up to an additional 6,615,000 shares from T-Mobile. T-Mobile expects to use the net proceeds from this offering, including net proceeds from any exercise by the underwriters of their option to purchase additional shares of T-Mobile’s common stock, for general corporate purposes, including capital investments, enhancing its financial flexibility and opportunistically acquiring additional spectrum in private party transactions and/or government auctions.
