Ampal-American Israel Corporation (Nasdaq: AMPL) 55% LOWER ; filed a voluntary petition for Chapter 11 reorganization in the U.S. Bankruptcy Court for the Southern District of New York.

Flagstone Reinsurance Holdings, S.A. (NYSE: FSR) 16% HIGHER ; Validus Holdings, Ltd. (NYSE: VR) will acquire all of the issued and outstanding shares of Flagstone. Under the terms of the agreement, Flagstone shareholders will receive 0.1935 Validus voting common shares and $2.00 in cash for each Flagstone share. The transaction provides Flagstone shareholders with a 19.4% premium and $8.43 of value per share based on the closing share price for each of Validus and Flagstone as of Wednesday, August 29, 2012 and represents an aggregate equity value of $623.2 million.

Pandora Media (NYSE: P) 14% HIGHER ; reported Q2 EPS of $0.00, $0.03 better than the analyst estimate of ($0.03). Revenue for the quarter came in at $101.3 million versus the consensus estimate of $100.94 million. Pandora Media sees Q3 2012 EPS of $0.00-$0.01, versus the consensus of 'breakeven.' Pandora Media sees Q3 2012 revenue of $115-118 million, versus the consensus of $114.4 million. Pandora Media sees FY2012 EPS of $-0.04--0.08, versus prior guidance of $-0.07-0.11 and the consensus of $-0.12. Pandora Media sees FY2012 revenue of $425-432 million, versus the consensus of $424.2 million.

Ciena Corp. (NASDAQ: CIEN) 12% LOWER ; reported Q3 EPS of ($0.04), $0.02 worse than the analyst estimate of ($0.02). Revenue for the quarter came in at $474.1 million versus the consensus estimate of $473.37 million. Ciena Corp. sees Q4 revenue of $455-480 million, versus the consensus of $499.5 million.

Sarepta Therapeutics (NASDAQ: SRPT) 12% HIGHER ; continued positive press for its Duchenne Muscular Dystrophy treatment.

Visteon Corp. (NYSE: VC) 8% HIGHER ; Reports Mando May Buy Former Affiliate Halla Climate From Visteon.

Vera Bradley, Inc. (NASDAQ: VRA) 7% LOWER ; reported Q2 EPS of $0.33, $0.02 worse than the analyst estimate of $0.35. Revenue for the quarter came in at $123 million versus the consensus estimate of $122.05 million. Vera Bradley, Inc. sees Q3 2013 EPS of $0.37-0.39, versus the consensus of $0.39. Vera Bradley, Inc. sees Q3 2013 revenue of $134-136 million, versus the consensus of $134.26 million. Vera Bradley, Inc. sees FY2013 EPS of $1.60-1.63, versus the consensus of $1.69. Vera Bradley, Inc. sees FY2013 revenue of $531-536 million, versus the consensus of $536.97 million.

Flow International Corp (NASDAQ: FLOW) 7% HIGHER ; reported Q1 EPS of $0.05, in-line with the analyst estimate of $0.05. Revenue for the quarter came in at $66.2 million versus the consensus estimate of $64.75 million.

Geron Corporation (NASDAQ: GERN) font color="limegreen">7% HIGHER ; Stifel Nicolaus initiates coverage on with a Buy. PT $4.00.

Oxford Industries, Inc. (NYSE: OXM) 7% LOWER ; reported Q2 EPS of $0.65, $0.02 better than the analyst estimate of $0.63. Revenue for the quarter came in at $206.9 million versus the consensus estimate of $205.04 million. Oxford Industries, Inc. sees FY2012 EPS of $2.85-2.95, versus the consensus of $2.90. LyondellBasell Industries NV (NYSE: LYB) 5% HIGHER ; will replace Sears Holdings in the S&P 500 after the close of trading on Tuesday, September 4.
